SAPOA SPECIAL BOARD MEETING ON BEACH ROAD BALLOT RESULTS
October 2, 2004 - 7 pm


  CALL TO ORDER:  The meeting was called to order by Everett Stauffer at 7 pm in the absence of Dave Taney, who was on vacation.  Lew Morello was also absent.

   Two-hundred-sixty ballot envelopes were returned , of which 256 were valid ballots.  The road repair had l97 yes votes and 38 nos and 21 blank, which gave it a 76.9 percent approval.  On the dues extension, it was 181 yes, 69 no and six blank, giving it a 70.7 percent approval.  The result was that both passed with a super-majority.

   The Beach Road Committee spent 20 days getting the contract started.  It was given to Everett on the 22nd.  “Working with the contractor, lawyer, etc., we came up with what’s in front of you,” Stauffer said.  Steve Ramsey, Everett, Kevin and Dawn (the contractor and his wife) met last night and worked it over and came to an agreement.

   Everett has received only one comment on it.  On paragraph 3.3 on payment, which states “paid 15 days from the date of invoice,” it was suggested to read, “15 days from receipt of invoice.”  

   Stauffer said, “Our intention it to turn these checks around as quickly as possible.  It behooves us to work with Kevin as best we can.”  Kevin said the change of wording would present no problem to him and it was added.  Although not in the copy handed-out, Everett had already inserted it in the master copy.

    A question from the floor as to whether taxes were included in the price, Stauffer said they were.  It was suggested that a statement to that effect should be in the contract, but Stauffer said the attorney was satisfied that it was covered.

    Another question was asked as to who would be responsible for administering the contract.  Steve Ramsey will be the SAPOA representative overseeing the contract and performance of work.  He will be the go-between among the contractor, Beach Road Committee, and the SAPOA Board of Directors.  He will receive the invoices.  Sam Mrakovich will sign for the Beach Road Committee and they will be submitted to the board for payment.  The Beach Road Committee, represented by Ramsey, will be responsible for the buyoff of the work.

   Any change orders will be in writing before they happen is added to the contract.  It was moved and seconded that the contract be approved as amended.  The vote was a unanimous five approval.
